Boards of Directors should establish HR/Compensation Committees to ensure that the bank's compensation practices for its executive officers and employees are safe and sound, are consistent with prudent compensation practices, and comply with laws and regulations governing compensation practices. Of particular importance at this time is incentive compensation and the board's obligation to maintain safeguards to prevent the payment of compensation, fees, and benefits that are excessive or that could lead to material financial loss to the bank.
